To be included in the database, a company must have at least 500 shareholders of one class of stock, at least $ 5 million in assets, and must have filed a 10-K (annual filing document for U.S. companies) or 20-F (annual filing document for non-U.S. companies) in the past 18 months. Disclosure(R) includes companies that are listed on the American Stock Exchange, New York Stock Exchange and Over-the-Counter stocks. Additionally, for each company, standard variables are searchable. For instance, Fortune number, SIC codes, CUSIP numbers (Committee on Uniform Securities Information Procedures), D-U-N-S number (Dun and Bradstreet's Data Universal Numbering System), state of incorporation, complete principal address information and all financial information such as balance sheets, assets and liabilities, five-year summary and industry segment data are searchable. The DISCLO database also includes standard stock ownership summaries on inside ownership, five percent ownership and institutional ownership.

Disclosure(R) also includes a wealth of detailed management information. Complete management discussion text from either the Annual Report to Shareholders (ARS) or SEC Form 10-K, full-text of the President's letter from the Annual Report to Shareholders, the Other Corporate Events section which contains a record of unusual events within the last two years (items such as bankruptcy Notifications, auditor changes, and elections of directors), and the Exhibits segment containing such things as partnership agreements, certificates of incorporation and company incentive plans are also available. The information Disclosure(R) provides -- management data and financial data -- is complete and comprehensive.

The information can be used for analyzing not only a company's financial strengths And weaknesses, but also company trends and future directions. The Disclosure(R) Online Database utilizes over a dozen different sources when compiling a company record. Disclosure relies on SEC filing documents for most of its sources. The Securities and Exchange Commission requires all publicly-held U.S. companies to file reports disclosing their financial condition, results of operations and any other information that is of significance to investors. Beginning in 1993, the SEC began to require those filings to be made electronically, through the Electronic Data Gathering, Analysis, and Retrieval (EDGAR) System. Disclosure Inc., while preserving the integrity of the original electronic filings, has enhanced these documents by providing additional features that greatly improve searchability. Disclosure's process has been customized to take full advantage of the unique features of each major form type.

Forms and Exhibits

Each filing made with the SEC may consist of one or more documents, a base document such as a Form 10-K together with one or more exhibits. Each of the documents in the original filing will be stored in the EDGARP database as a separate document. This allows more focused searching and retrieval. A search on the form type (e.g. 10-K) will retrieve the base document and all of the exhibits filed with that base document; a search on the exhibit type will retrieve only exhibits.

An exhibit may be filed only once with the SEC, but then, by a process of "incorporation by reference", the same exhibit may be made a part of one or more later filings that require submission of the same document. Most forms filed with the SEC will contain a filer-provided list of exhibits. Some of the entries on that list will refer to documents or exhibits filed together with the form; others entries will refer to exhibits filed at an earlier date.

Every exhibit filed with the SEC, regardless of the form type, is identified according to a standard naming convention, e.g. Exhibit 1. Underwriting agreement. For a complete list of form-types and exhibit names accepted by EDGAR, see SPECIAL-CHAR: section of this document.

Versions

An initial version of each electronic filing will be available within 24 hours of being filed at the SEC. This version will usually be in a basic format with a limited table of contents and a limited number of segments. In some cases, an enhanced version of the filing will be available within 24 hours of filing. For annual reports and Form 20-F filings, most of which are still made on paper, an initial version will usually be available within 2-3 weeks of being filed at the SEC.

The Securities and Exchange Commission requires all publicly-held U.S. companies to file reports disclosing their financial condition, results of operations and any other information that is of significance to investors.

Form 10-Q is a quarterly report filed for each of the first three quarters of a company's fiscal year. It must be filed within 45 days of the end of each fiscal quarter. Fiscal years will vary from one company to another and may not coincide with calendar quarters (e.g. March 31, June 30, September 30).

Form 10-Q contains an income statement, balance sheet, and statement of source and application of funds. In addition, there are results of operations analysis, computations of earnings per share and dividends per share, and any additional information related to the period being reported. This may include items such as the dollar amount of backlogged orders, and an explanation of commitments and contingent liabilities.

CONTENT-SUMMARY:
The Annual Report to Shareholders is the principal document used by major corporations to communicate directly with their shareholders. The ARS is not a required SEC filing, but contains information (usually annual financial statements) that are referenced by the company's 10-K filing. Also included in most annual reports is information about the company's business, sales and marketing and analysis of the company's condition made by the CEO.

The ARS file contains all annual reports filed on the EDGAR system, as well as all annual reports of companies listed on the American and New York Stock Exchanges and approximately 260 NASDAQ (NMS) companies, beginning July 1987. The criteria for NMS coverage include companies who are either:
- Fortune 500
- Forbes 500
- S&P 500
- Financial World 1,000 Annual reports of more than 1,700 additional companies followed by Standard & Poor's Compustat are also included. Coverage of these companies begins with fiscal year ending September 1989.
