extracted from annual and periodic reports filed with the Securities and
Exchange Commission (SEC) for over 10,000 publicly-owned companies. To be
included in the database, a company must have at least 500 shareholders of one
class of stock, at least $ 5 million in assets, and must have filed a 10-K

non-U.S. companies) in the past 18 months. New companies must have filed the
appropriate Registration Statement.
Disclosure(R) includes companies that are listed on the American Stock Exchange,
New York Stock Exchange and Over-the-Counter stocks. Additionally, for each
company, standard variables are searchable. For instance, Fortune number, SIC

D-U-N-S number (Dun and Bradstreet's Data Universal Numbering System), state of
incorporation, complete principal address information and all financial
information such as balance sheets, assets and liabilities, five-year summary
and industry segment data are searchable. The DISCLO database also includes

of its sources. Reports referenced include:

Information Access Company, contains current address, financial, and marketing
information on approximately 141,000 U.S. private and public companies. About
105,000 of the U.S. companies are listed in the five-volume set of the 1991
Ward's Business Directory. The file covers all types of commercial and
industrial companies, more than 93% of which are privately held.
These companies may be either headquarters or single-location establishments;
they also may be non-U.S. or American parent companies with U.S.-based
divisions or subsidiaries. The database also contains up to 10 of the most
recent news references on each company found in more than 4,000 periodicals and
wire services indexed by IAC.
News references are updated on a daily basis. Emerging companies reported for
the first time in the news are posted as "flash" records in the database in as
little as 24 hours. The full company records follows soon after. Private
company information is gathered annually through questionnaires sent to private
companies as well as telephone interviews conducted with their authorized
company personnel. Public company information is obtained from annual reports,
and 10-K reports.

CONTENT-SUMMARY:
The Securities and Exchange Commission requires all publicly-held U.S. companies
to file reports disclosing their financial condition, results of operations and
any other information that is of significance to investors. Beginning in 1993,
the SEC began to require those filings to be made electronically, through the
Electronic Data Gathering, Analysis, and Retrieval (EDGAR) System. Disclosure
Inc., while preserving the integrity of the original electronic filings, has
enhanced these documents by providing additional features that greatly improve
searchability. Disclosure's process has been customized to take full advantage
of the unique features of each major form type.
Forms and Exhibits
Each filing made with the SEC may consist of one or more documents, a base
document such as a Form 10-K together with one or more exhibits. Each of the
documents in the original filing will be stored in the EDGARP database as a
separate document. This allows more focused searching and retrieval. A search on
the form type (e.g. 10-K) will retrieve the base document and all of the
exhibits filed with that base document; a search on the exhibit type will
retrieve only exhibits.
An exhibit may be filed only once with the SEC, but then, by a process of
"incorporation by reference", the same exhibit may be made a part of one or more
later filings that require submission of the same document. Most forms filed
with the SEC will contain a filer-provided list of exhibits. Some of the entries
on that list will refer to documents or exhibits filed together with the form;
others entries will refer to exhibits filed at an earlier date.
Every exhibit filed with the SEC, regardless of the form type, is identified
according to a standard naming convention, e.g. Exhibit 1. Underwriting
agreement. For a complete list of form-types and exhibit names accepted by
EDGAR, see SPECIAL-CHAR: section of this document.
Versions
An initial version of each electronic filing will be available within 24 hours
of being filed at the SEC. This version will usually be in a basic format with
a limited table of contents and a limited number of segments. It will be
replaced within a few days by an enhanced version of the filing that will
include additional segments and a more comprehensive table of contents. In some
cases, an enhanced version of the filing will be available within 24 hours of
filing. For annual reports and Form 20-F filings, most of which are still made
on paper, an initial version will usually be available within 2-3 weeks of being
filed at the SEC.
The segments described below are valid for all versions and all form types. In
enhanced versions, additional segments are added to the text of the original
form type, based on the needs of the individual form types. For details of the
enhanced segmentations, refer to the descriptions of the individual form types.

The Securities and Exchange Commission requires all publicly-held U.S. companies
to file reports disclosing their financial condition, results of operations and
any other information that is of significance to investors.
Access Disclosure contains over four million entries for documents filed with
the SEC, going back as far as 1967. This is a comprehensive index to all SEC
filings, whether they were made on paper or in an electronic format. The index
also contains documents filed by companies with exchanges, agencies, and other
organizations. Examples include British companies filing documents with the
London Stock Exchange, U.S. banks filing documents with the Office of Thrift
Supervision and Canadian companies filing with the Ontario Securities
Commission. Over 10,000 international entries, dating from as early as 1990,
are in the index.
The Access file contains a separate document for each company. Each company
document contains one or more filing entries. There is one filing entry for
each filing made with the SEC or other agency. Each filing entry provides
information on the form type and date.
For SEC documents that were filed electronically or part of the SEC Online
database, LINK markers will connect the index to the EDGARPlus(R) version of the

database, LINK markers will connect the index to information on how to order
