Overview: Neither deposit agreement nor receipts provided the beneficial receipt owner with right to sue derivatively; thus, choice of law provision in them did not apply to issue of whether it had to right to sue derivatively, and Court of Special Appeals correctly found that under internal affairs doctrine, Irish law precluded its derivative suit.
