Overview: A chancellor erred by failing to transfer a dispute over contractual obligations to a circuit court because a former member did not bring most of the claims derivatively under Miss. Code Ann. 79-4-7.40 since he was seeking a personal recovery; moreover, the parties would have been deprived of the right to a jury trial if not transfer was obtained.
